Service Agreement

This Service Agreement governs WYOM.us organizational coordination services for a paid Wyoming, USA LLC application and EIN request.

Parties

WYOM INTL LLC, 75 E 3rd St, Ste 7, Sheridan, WY 82801, operates the WYOM.us service at wyom.us and is the Contractor under this Agreement.

Definitions

  • Agreement means this public offer agreement for WYOM.us services, including the terms accepted by the Client during application and payment.
  • Application means the electronic form completed by the Client at wyom.us, including submitted data, confirmations, application signature, and payment information.
  • Services means the Contractor's organizational coordination actions connected with processing the Client's application, coordinating a Wyoming, USA LLC formation, and supporting the company tax ID request.
  • Company in Wyoming, USA means the LLC the Client intends to form in the State of Wyoming, USA through WYOM.us.
  • Company tax ID (EIN) means the U.S. federal employer identification number assigned by the U.S. Internal Revenue Service.
  • IRS means the U.S. Internal Revenue Service.
  • Form SS-4 means the IRS form used to request an EIN.
  • Registered Agent means a person or company in Wyoming, USA authorized to receive official notices and correspondence for the company under state rules.
  • WYOM.us Partners means persons, services, or organizations the Contractor may use to perform the Services, including the Registered Agent, communication, mail, data storage, technical support, and application processing services.
  • Client Account means the WYOM.us online area where the Client may receive application status, documents, notices, or other service materials.
  • Application Signature means the signature submitted electronically by the Client during the application and usable by the Contractor only within this Agreement.
  • Acceptance means the Client's full and unconditional acceptance of this Agreement by completing the application, confirming data, submitting the application signature, and/or paying for Services.
  • Personal Data means information about the Client or persons named in the application processed by the Contractor to perform this Agreement and provide the Services.

Acceptance of the Agreement

This Agreement is a public offer by the Contractor. The Client accepts it by completing the application, confirming data, submitting the application signature, and paying for the Services.

Payment for the Services is full and unconditional acceptance of this Agreement. The agreement date is the payment date recorded by the payment system or by WYOM.us internal records.

For each paid application, the version in force on the payment date applies.

Scope of Services

The Contractor provides organizational coordination Services connected with forming a Company in Wyoming, USA.

The Services may include receiving and checking application data, forming application materials, coordinating submission to competent Wyoming, USA authorities, communicating with the Registered Agent, organizing receipt of company documents, supporting the EIN request, and providing access to application materials in the Client Account.

WYOM.us is not a law firm, tax adviser, bank, payment institution, U.S. Registered Agent, or government authority. Information on wyom.us and in WYOM.us communications is not legal, tax, accounting, or financial advice.

Client data

The Client confirms that all data submitted in the application is accurate, complete, and current.

The Client is responsible for the correctness of the name, address, residence country, contact details, owner details, proposed company name, business activity description, and other information submitted to the Contractor.

If the Client discovers an error or missing information after submission, the Client must promptly notify WYOM.us at ask@wyom.us.

Signature and EIN request

The Client authorizes the Contractor and WYOM.us Partners to use the application signature only for forming the Company in Wyoming, USA and supporting the EIN request.

For the EIN request, the Contractor or a WYOM.us Partner may be listed on Form SS-4 as the person the IRS may contact about the application and to whom EIN information may be provided if needed to perform the Services.

This authorization is not a general power of attorney and does not authorize the Contractor to act for the Client outside this Agreement.

WYOM.us partners, public authorities, and timelines

To perform the Services, the Contractor may interact with the Registered Agent in Wyoming, USA, competent public authorities, the IRS, payment services, communication services, hosting, data storage, mail, and technical support services.

Public authorities, the IRS, the Registered Agent, and other independent persons make their own decisions. The Contractor does not guarantee company name approval, EIN issuance, or specific processing timelines where such decisions or timelines depend on third parties.

Payment, start of Services, and refunds

The Client pays the Services price shown on the payment page.

From payment and Acceptance of this Agreement, the Services are ordered and the application is taken into work. From that moment, the Contractor may begin the Services, transmit required data to WYOM.us Partners, pay external costs, or assume obligations connected with the Client's application.

Payment is not refundable after the Services have started, application materials have been formed, data has been transmitted, a WYOM.us Partner has started work, or external costs have arisen, except where directly required by law or agreed in writing by the Contractor.

First year, annual service, and company maintenance

Before payment, the Client sees the package of Services included in the application price. The current WYOM.us package includes Wyoming, USA company formation, EIN request submission, state filing fee, first year of Registered Agent service, Wyoming, USA address, official mail scanning, WYOM.us Client Account access, and smart application status notices.

The first year of Registered Agent service, address, and related mail support is counted from the company registration date or another activation date set for the relevant service by the Registered Agent.

After the first year, maintaining the company in active status, renewing the Registered Agent, address, mail support, mail scanning, smart notices, and the annual report to the Wyoming, USA Secretary of State are paid separately.

WYOM.us may offer the Client a separate annual service. This service is not a mandatory subscription and is not included in the one-time company formation payment unless separately ordered by the Client.

The Client is responsible for timely renewal of required services, annual payments, filings, and maintaining the company under Wyoming, USA, IRS, and other applicable rules.

Personal data

The Client consents to processing Personal Data needed to perform this Agreement, including name, contact details, address, residence country, data about persons named in the application, application signature, payment information, application materials, and service records.

Personal Data may be transmitted to WYOM.us Partners only to the extent needed to perform the application, receive payment, submit materials, support EIN, provide support, keep records, protect the Contractor's rights, and comply with law.

Prohibited activity, sanctions, and later company use

The Client confirms that the Client is not subject to sanctions of the United States, the European Union, or another jurisdiction whose rules may apply to the Client, the application, or the Services.

The Client must not use WYOM.us, the Company in Wyoming, USA, EIN, Client Account, or related Services for money laundering, terrorist financing, fraud, sanctions evasion, hiding unlawful activity, or any activity prohibited by law.

After the Services are provided, the Client is solely responsible for the Company in Wyoming, USA, its operations, contracts, taxes, reports, payments, legal compliance, and any later use of the company.

If the circumstances in this section are discovered, the Contractor may refuse, pause, or terminate the Services. Any refund is determined by the stage of the application, costs incurred, and legal requirements.

Limitation of liability

The Contractor is responsible only for proper provision of the Services within this Agreement.

The Contractor is not responsible for decisions, refusals, delays, or technical failures of public authorities, the IRS, the Registered Agent, mail, technical, or other independent services where those circumstances are outside the Contractor's control.

The Contractor is not responsible for later activity of the Company in Wyoming, USA after the Services are provided if that activity is carried out by the Client or other persons without the Contractor's participation.

The Contractor's total liability for a specific paid application may not exceed the amount actually paid by the Client to the Contractor for that application, excluding state fees, payment fees, WYOM.us Partner costs, and other non-refundable external costs.

Liability limits apply only to the extent permitted by law.

Force majeure

The Parties are released from liability for non-performance or delay if caused by force majeure circumstances that a Party could not reasonably foresee or control.

Such circumstances may include military actions, restrictions on public authority operations, power or communication outages, failures of U.S. public registries, large-scale technical failures, natural disasters, government decisions, or other events directly affecting performance of the Services.

Communications and notices

The official communication channel with the Client is the email address stated in the application and notices in the Client Account if available.

Notices sent by the Contractor to the Client's application email are considered properly sent to the Client.

The Client must keep the email address current and timely review messages connected with the application.

Dispute resolution

This Agreement is governed by Wyoming, USA law and applicable U.S. federal law, unless mandatory consumer rights provide otherwise.

If the law of the Client's residence grants consumer rights that cannot be excluded by contract, those rights remain in effect.

The Parties first try to resolve a dispute by written notice to ask@wyom.us. If the dispute is not resolved, it may be submitted to a competent court unless applicable law directly provides otherwise.

Application confirmations

  • the application data is accurate, complete, and truthful;
  • the Client has authority to submit the application, accept this Agreement, and provide the application signature;
  • the Client understands that WYOM.us provides organizational coordination, not legal, tax, accounting, or financial advice;
  • the Client authorizes use of the application signature only for forming the Company in Wyoming, USA and supporting EIN;
  • the Client understands that the first year of Registered Agent, address, and related services does not mean perpetual company service;
  • the Client accepts this Agreement, the WYOM.us Privacy Policy, and the payment terms.
